Teacher Terms and Educator Conduct Agreement

Additional terms applying to users who hold a Teacher account

Effective date: 2026-10-26 | Version 2026-10-26

These Teacher Terms apply in addition to the KaraOrchee Terms of Use, which are incorporated here. If the two conflict on a matter specific to the Teacher role, these Teacher Terms control. You must accept these terms before you can use the Teacher role.

1. Eligibility. You must be at least 18 years old and legally able to enter this agreement. The name displayed to students and guardians must be a name by which you are genuinely known. You may hold only one Teacher account.

2. You are independent. You are not an employee, agent, partner, joint venturer, or representative of KaraOrchee. KaraOrchee does not employ you, direct your instruction, set your rates, schedule your lessons, supervise your work, or participate in your relationship with a student or family. You are solely responsible for your instruction, your conduct, your tax obligations, your own insurance, and any license, registration, certification, or background check required where you teach. You may not describe yourself as employed by, affiliated with, certified by, endorsed by, or vetted by KaraOrchee.

3. KaraOrchee does not vet you and does not vouch for you. KaraOrchee verifies that you control your email address and that you have attested that you are at least 18. It does not conduct a criminal background check, verify your credentials, or confirm your identity or age. KaraOrchee makes no representation to any student or family about you. You will not state or suggest otherwise.

4. Authorization to teach and to record. You may use the Service only with students you are authorized to teach and only with the permission of a parent or legal guardian where the student is a minor. Before every recording you must obtain the affirmative consent of every person whose voice may be captured, present the recording notice where a participant is in the room with you, and stop immediately if anyone declines or withdraws.

5. No participant under 13. You may not record, import, or upload a lesson in which any participant is under 13 years of age. This applies whether or not that person has a KaraOrchee account and whether or not a parent has given you permission. Before each recording or import you must confirm that no participant is under 13, and that confirmation is a representation to KaraOrchee on which it relies. If you teach students under 13, you may use the Service for your own materials and for students 13 and older, but you must not record the younger lessons. If a child under 13 is recorded, stop the recording and do not upload it. Breach of this section is grounds for immediate termination.

6. Conduct toward minors. You must comply with any child safety policy KaraOrchee publishes, which is incorporated into this agreement. At a minimum: keep communication with a minor about music and open to the minor’s parent or guardian; never move a minor to a private channel; never ask a minor to keep anything secret from a parent or guardian; never request or send personal contact information or content unrelated to instruction; never comment on a minor’s appearance or personal relationships. Violation is a material breach and KaraOrchee may suspend or terminate your account immediately and report to law enforcement.

7. Student information. Student information you receive through the Service is for the instructional relationship only. You may not download, export, retain, reuse, publish, or disclose it outside that relationship, and you may not use it to market anything. When a student or guardian ends the relationship, or a guardian withdraws approval, you must stop using that student’s information and must not retain copies outside the Service. You will cooperate with any access, correction, or deletion request KaraOrchee routes to you.

8. Deletion of student information. You understand that when a student deletes an account, or a parent or guardian deletes it, KaraOrchee will delete the notes linked to that student, including the notes you sent to that student. Recordings made under your account and their transcripts are not deleted solely because the student’s account was deleted; they are deleted when the applicable retention period ends (currently 90 days after upload) or when your account is deleted, whichever comes first. Withdrawal of guardian approval ends your connection with the student but does not delete information. You will not have a right to retain that material, and you should not rely on the Service as a permanent record of any student relationship.

9. Scores and copyright. You are responsible for the rights to every score photo, image, or other material you upload. Owning a copy, having purchased sheet music, or having received a studio copy does not authorize you to digitize, upload, or distribute it. Do not upload a complete protected work where an excerpt would serve the lesson. Do not use the Service to build or exchange a score library. KaraOrchee will act on infringement notices and will, in appropriate circumstances, terminate the accounts of repeat infringers.

10. AI output. Transcripts and AI-generated notes are drafts. Notes generated from a lesson you created remain drafts, visible only to you, until you send them, and you must review them before sending. You remain responsible for the instructional content of anything sent under your name. Do not rely on AI output for any medical, psychological, safety, or emergency judgment about a student.

11. Suspension and termination. KaraOrchee may suspend or terminate your account, with or without notice, if it reasonably believes you have breached this agreement, presented a risk to a student, infringed rights, or must be restricted by law. Suspension pending a safety review is protective and is not a determination that you did anything wrong. On termination you lose access to lesson content associated with your account. Notes you have already sent remain available to the students who received them.

12. Indemnity. To the extent permitted by law, you will defend, indemnify and hold KaraOrchee harmless from third-party claims arising from your instruction, your conduct toward a student, your recordings, your uploads, your breach of this agreement, or your violation of any law. This does not require you to indemnify KaraOrchee for KaraOrchee’s own unlawful conduct.

13. General. The dispute resolution, governing law, disclaimer, limitation of liability, and change provisions of the Terms of Use apply to this agreement. Sections 2, 3, 7, 8, 9, 12 and this Section 13 survive termination.
